DIRECTOR KYC is the process where every DIN holder is required to update their latest KYC (Know Your Customer) details to the Ministry of Corporate Affairs (MCA) on or before September 30 of every financial year. It’s important for every DIN holder to keep their DIN Active. It’s become mandatory for all DIN holders to file their KYC details through the filing of the Director KYC E-form annually.

DIN stands for Director Identification Number, this is mandatory to have a DIN before an appointment as a director in any existing company and the same can be obtained through the filing of E-form DIR-3.

#1. When does Director KYC come into force?

The Ministry of Corporate affair (MCA) vide its circular dated July 05, 2018, made amendments to the companies (appointment and qualification of directors) rules, 2014, and brought new rule 12A which covered the concept of Director KYC in which every DIN holder is required to submit Director KYC annually to update the latest KYC details of himself to the Ministry of Corporate Affairs (MCA) registry. 

#2. Who is Required to File Director KYC?

Any person who has been allotted a DIN up to March 31st of a financial year is required to submit Director KYC (via. DIR-3 KYC/DIR-3 KYC Web service) on or before September 30th of the immediate next financial year. If a DIN holder fails to submit the DIR KYC within the due date i.e. September 30th then DIN becomes deactivated as a non-compliant DIN and marked as Deactivated due to non-filing of Director DIR-3 KYC.

#3. What are the types of Director KYC?

There are two types of Director KYCs:

  1. E-form DIR-3 KYC
  2. DIR-3 KYC Web service

#E-form DIR-3 KYC: (For new DIN holders/first-time)

A DIN holder who wants to update his KYC details first time with MCA through the filing of an E-form DIR-3 KYC. Under this, DIN holders can do their Director KYC by accessing the DIR-3 KYC.

KYC details can be updated through this E-form DIR-3 KYC.

#DIR-3 Web Service: (For old DIN holders)

Any DIN holder who has already submitted the DIR-3 KYC in any previous year financial year. Under this, DIN holders can do their Director KYC by accessing the DIR-3 Web service.

No KYC details can be updated through this DIR-3 Web service.

#5. What is the procedure for filing Director KYC?

#DIR-3 KYC Form: The procedure for filing the form DIR-3 KYC is explained as under:

  • Before starting this process, the DIN holder must have the required documents as mentioned above and the same must be certified by any practicing professional in India like a Company Secretary, a Chartered Accountant, a cost accountant, or an advocate.
  • Create an account as a business user on the MCA website (www.mca.gov.in) by filling the personal details like name, address, mobile number, email ID, etc., and create a user ID and password.
  •  Log in to the MCA portal with their created user ID & password, After logging in, click the MCA service Tab then select the DIN Service Tab, From the list of services select the DIR-3 KYC.
  • After clicking on DIR-3 KYC a new window will open and the DIR-3 KYC form will appear for filling & filing purposes.
  • After filling out the DIR-3 KYC Form applicant proceeded to download the form for affixing digital signature purposes.
  • At last affix the digital signature of the DIN holder and practicing professional then submit to the same and a challan will be created.

#DIR-3 KYC Web Service: The procedure for filing the form DIR-3 KYC Web service is explained as under:

  • Log in to the MCA portal (www.mca.gov.in)  with their created user ID & password, After logging in, click the MCA service Tab then select the DIN Service Tab, From the list of services select the DIR-3 KYC web service.
  • After clicking on DIR-3 web service a new window will open and the DIR-3 KYC web service form will appear for mobile & email OTP purposes.
  • After verifying both OTPs, the system will show the pre-filed Director KYC form, confirm the all details then click to submit and a challan will be created.
  • For DIR-3 KYC web service, there is no requirement to have a DIN holder & practicing professional digital signature & certified documents as required in the DIR-3 KYC form.

#6. What is the due date of the Director KYC?

Any person who has been allotted a DIN up to March 31st of a financial year is required to submit Director KYC on or before September 30th of the immediate next financial year according to rule 12A of companies (appointment and qualification of directors) rules, 2014

For the financial year 2022-2023, the Director’s KYC due date is September 30, 2023.

#7. What is the Govt. fee for the Director’s KYC?

If the Director KYC form is submitted within the due date of the respective financial year, there will be ZERO statutory/Govt. fee.

#8. What is the Penalty for the Director’s KYC?

If any DIN holder fails to submit Director KYC within the due date, a Rs. 5,000 late fee (one time) shall be payable, along with the Ministry of Corporate Affairs (MCA) registry marked as Deactivated due to non-filing of DIR-3 KYC.

#9. Consequence of non-filing Director KYC?

If any DIN holder fails to submit Director KYC, then DIN becomes deactivated as a non-compliant DIN and marked as Deactivated due to non-filing of Director DIR-3 KYC.

Further, the DIN holder will not be able to use his DIN for appointment purposes and treated as a disqualified director.

DIN holders can activate the deactivated DIN after paying a Rs. 5,000 (one-time) late fee to the ministry.

#11. What does mean Approved DIN or DIN Deactivated due to non-filing of Director KYC?

#Approved DIN: When Any DIN holder annually submits the Director KYC form, it will keep the DIN active or approved DIN. DIN holders can use this DIN for appointment purposes in any existing company.   

#Deactivated DIN: When Any DIN holder fails to submit the Director KYC form within the due date the DIN status will get changed from approved DIN to DIN deactivated due to non-filing of DIR-3 KYC by the Ministry of Corporate Affairs (MCA) registry. Deactivated DIN cannot be used for appointment purposes.
