Closure of LLP

BIZ REGISTRATION is an online registration portal that facilitates the process of obtaining an LLP and closing of an LLP. It provides information about the LLP, including registration process, status of operation and dissolution, application for removal from the register of LLPs, etc.
The LLP is an alternative corporate business form that combines the benefits of a company's limited liability with the flexibility of a partnership. The LLP can continue to exist despite changes in partners. It has the ability to enter into contracts and hold property in its name. In order to close an LLP, each partner must provide the Registrar with proof that the LLP is discontinued. On a proforma basis, the partner's letter should outline any key considerations for winding up the LLP, such as what legal fees are owed to each other party, who has taken title to assets, whether there will be an orderly wind up process and when.

The important details required to close down an LLP are:

• The LLP that is being closed down should not have started doing business after its incorporation.
• The LLP that will be closed has not conducted any business in the last year.
• The to-be-closed LLP has no assets or liabilities.

Documents Required for LLP Closure:

• A statement of account containing nil assets and nil liabilities certified by a CA in practice and dated within 30 days from the date of Form 24 filing.
• Copy of latest income tax return acknowledgement- Self-explanatory
• A copy of the initial limited liability partnership agreement, if signed but not filed, as well as any changes to it.
• Copy of Detailed Application- Mention the full details of the LLP as well as the reasons for closure.
• A copy of the Partners' Authority to Make the Application, duly signed by all of them.
